There's an excellent resource on the Scottish Council for Voluntary 
Organisations website on 'Forming a Company Limited by Guarantee' (might 
be specific to Scotland though).

It's worth having a read through all sections, but if you click on the 
'Model Memorandum and Articles' link, it allows you to download a draft 
document, with sections that you should consider changing.
